Williams Capital delivers fixed income and equity securities underwriting, sales and trading services for corporations accessing the institutional capital markets in the United States.

As a lead or co-manager on corporate debt and equity offerings, we provide our issuer clients with insightful market coverage before, during and after every transaction, and seek to broaden and diversify the issuer’s investor base by targeting small and mid-tier institutional investors.

Each underwriting mandate is an opportunity for us to provide our clients with value-added service. Whether serving as a manager or syndicate member, we apply the full resources of our firm on every underwriting mandate to generate investor interest and make a positive contribution for our clients.

Williams Capital primarily serves Fortune 500 seeking to access the U.S. capital markets through the public and 144A markets. We have expertise and longstanding client relationships in most industry sectors including: banking, insurance and finance; utilities; energy; technology; communications; retail; consumer products; and general industrial.

Fixed Income Underwriting

Williams Capital actively participates in the underwriting and distribution of corporate debt. Such offerings include Senior and Subordinated Unsecured Debt, Medium-Term Notes, and Asset-Backed Securities.

Williams Capital has ranked among the top-20 most active underwriters of corporate debt as measured by SDC/Thompson Financial each year since 2000. From January 2000, the firm has served as a Lead or Co-Manager on more than 600 corporate debt offerings equal to over $700 billion in total volume.

The firm executed its first co-managed debt offering in 1998, its first lead managed debt offering in 2000, its first sole lead managed debt offering in 2001, and its first debt offering as a bookrunner in 2003. In May 2007, for the fifth consecutive year, Williams Capital served as a Joint Bookrunner on a $750 million benchmark financing for GE Capital, the world’s most active corporate issuer.

Equity Underwriting

Williams Capital actively participates in the underwriting and distribution of U.S. equity securities. Such offerings include preferred, convertible, secondary equity and IPO securities.

We have built an excellent track record of serving as a value-added intermediary between our issuers and investors:

  • Our strategy of in-depth investor calls and meetings during the early stages of the marketing period generates important feedback for an issuer’s senior management.
  • We help an issuer expand its investor base by focusing our new issue distribution efforts on a core group of small and mid-tier institutions.

Since serving as a senior co-manager on the $3.5 billion IPO for Prudential Financial in 2001, we have co-managed over 30 equity offerings for corporate clients totaling more than $45 billion in total volume.

Share Repurchase

As a share repurchase agent, Williams Capital has completed more than 160 buy back assignments for 37 U.S. blue-chip corporations. We repurchased our 500 millionth share in early 2007.

Other than examining a stock repurchase agent’s performance versus the 10b-18 VWAP, we recognize it can be difficult to objectively differentiate one agent from another. There are several things, however, we believe allow us to execute a buyback program as effectively as any large investment bank.

  • Rather than participating in several buyback programs simultaneously, we generally serve as an agent on only one or two programs at a time. This allows us to focus our equity traders and carefully tailor our trading activity to fit the specific needs and parameters of our client.
  • Subject to our client’s directive, the overriding objective of our equity traders when executing a client’s buyback program is to consistently participate in the client’s stock throughout the day. This provides us with the best strategy for tracking our trading with the stock’s daily price movement, and has consistently enabled us to repurchase more than 1 million shares a day without influencing market price.
